  2. EUDORA VERSION 5.0.2 SOFTWARE LICENSE AGREEMENT
  3. ------------------------------------------------
  4.  
  5. QUALCOMM INCORPORATED ("QUALCOMM") IS WILLING TO LICENSE
  6. VERSION 5.0.2 OF ITS EUDORA« SOFTWARE AND THE ACCOMPANYING
  7. DOCUMENTATION (THE "SOFTWARE") TO YOU ONLY ON THE CONDITION
  8. THAT YOU ACCEPT ALL OF THE TERMS IN THIS AGREEMENT. PLEASE
  9. READ THE TERMS CAREFULLY. BY CLICKING ON THE "YES" BUTTON
  10. BELOW YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT,
  11. UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND
  12. CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS, QUALCOMM IS
  13. UNWILLING TO LICENSE THE SOFTWARE TO YOU. YOU SHOULD CLICK
  14. ON THE "NO" BUTTON TO DISCONTINUE THE INSTALLATION PROCESS.

  16. THE SOFTWARE IS AVAILABLE IN 3 MODES: LIGHT MODE (no cost;
  17. reduced set of features available), SPONSORED MODE (no cost;
  18. full feature set with sponsor window) AND PAID MODE (annual
  19. subscription fee; full feature set without sponsor window).
  20. TO USE THE SPONSORED MODE VERSION OF THE SOFTWARE, YOU WILL
  21. BE REQUIRED TO COMPLETE A PROFILE QUESTIONNAIRE AFTER A
  22. TRIAL PERIOD. PLEASE NOTE THAT EUDORA'S PRIVACY POLICY
  23. (http://www.eudora.com/privacy) GOVERNS QUALCOMM'S USE OF
  24. PROFILE INFORMATION. IF YOU CHOOSE NOT TO COMPLETE THE
  25. PROFILE QUESTIONNAIRE AFTER THE TERMINATION OF THE TRIAL
  26. PERIOD, YOUR COPY OF EUDORA WILL REVERT TO LIGHT MODE. IN
  27. THE EVENT QUALCOMM RELEASES NEW VERSIONS OF THE SOFTWARE,
  28. SUCH NEW VERSIONS OF THE SOFTWARE IN SPONSORED MODE WILL BE
  29. MADE AVAILABLE AT WWW.EUDORA.COM AT NO CHARGE. REGISTERED
  30. USERS OF THE SOFTWARE IN PAID MODE ARE ENTITLED, AT NO
  31. CHARGE, TO DOWNLOAD NEW VERSIONS OF THE SOFTWARE IN PAID
  32. MODE RELEASED DURING THE 12-MONTH PERIOD FOLLOWING THE DATE
  33. OF REGISTRATION OF THE SOFTWARE (THE "SUBSCRIPTION PERIOD").
  34. THE SUBSCRIPTION PERIOD MAY BE RENEWED UPON PAYMENT OF THE
  35. ANNUAL SUBSCRIPTION FEE. 
  36.  
  37. 1. LICENSE.  Qualcomm hereby grants you a nonexclusive 
  38. license to install and use the Software in machine-
  39. readable form on a single computer for use by a single 
  40. individual. You may copy the Software only for backup 
  41. purposes, provided that you reproduce all copyright and 
  42. other proprietary notices that are on the original copy 
  43. of the Software.
  44.  
  45. 2. RESTRICTIONS. Qualcomm retains all right, title, and 
  46. interest in and to the Software, and any rights not 
  47. granted to you herein are reserved by Qualcomm. You may 
  48. not reverse engineer, disassemble, decompile, or 
  49. translate the Software, or otherwise attempt to derive 
  50. the source code of the Software, except to the extent 
  51. allowed under any applicable law.  If applicable law 
  52. permits such activities, any information so discovered 
  53. must be promptly disclosed to Qualcomm and shall be 
  54. deemed to be the confidential proprietary information of 
  55. Qualcomm. Any attempt to transfer any of the rights, 
  56. duties or obligations hereunder is void. You may not 
  57. rent, lease, loan, or resell for profit the Software, or 
  58. any part thereof. You may not reproduce, distribute, 
  59. publicly perform or publicly display the Software except 
  60. as expressly permitted under Section 1, and you may not 
  61. create derivative works of the Software.

  63. 3. PRIVACY STATEMENT.  The Eudora Privacy Statement found 
  64. online at <http://www.eudora.com/privacy>, is 
  65. incorporated herein by reference.
  66.  
  67. 4. SUPPORT.  Registered users of the Software are entitled 
  68. to Qualcomm's standard support services, as such services 
  69. are modified from time to time in Qualcomm's discretion.
  70.  
  71. 5. NO WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" AND 
  72. WITHOUT ANY WARRANTY OR CONDITION, WHETHER EXPRESS, 
  73. IMPLIED OR STATUTORY.  Some jurisdictions do not allow 
  74. the disclaimer of implied warranties, so the foregoing 
  75. disclaimer may not apply to you.  This warranty gives you 
  76. specific legal rights and you may also have other legal 
  77. rights which vary from state to state.
  78.  
  79. 6. LIMITATION OF LIABILITY.  IN NO EVENT WILL QUALCOMM OR
  80. ITS SUPPLIERS BE LIABLE FOR ANY LOST PROFITS OR OTHER 
  81. CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (HOWEVER 
  82. ARISING, INCLUDING NEGLIGENCE) IN CONNECTION WITH THE 
  83. SOFTWARE OR THIS AGREEMENT, EVEN IF QUALCOMM HAS BEEN 
  84. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  In no event 
  85. will Qualcomm's liability in connection with the Software,
  86. regardless of the form of action, exceed $100.  Some
  87. jurisdictions do not allow the foregoing limitations of
  88. liability, so the foregoing limitations may not apply to
  89. you.

  91. 7. TERM AND TERMINATION.  This Agreement shall continue
  92. until terminated. You may terminate the Agreement at any
  93. time by deleting all copies of the Software.  This license 
  94. terminates automatically if you violate any terms of the 
  95. Agreement.  Upon termination you must promptly delete all 
  96. copies of the Software.  Sections 2, 5, 6, 10 and 11 
  97. shall survive termination.

  99. 8. EXPORT.  You may not download or otherwise export or 
  100. re-export the Software except in full compliance with all 
  101. applicable laws and regulations. By accepting this 
  102. agreement you represent and warrant that you: (a) 
  103. understand that the Software is subject to export 
  104. controls under the EAR, (b) are not located in a 
  105. prohibited destination country under the EAR or U.S. 
  106. sanctions regulations (currently Cuba, Iran, Iraq, Libya, 
  107. North Korea, Sudan, Syria, the Federal Republic of 
  108. Yugoslavia (including Serbia but not Kosovo or 
  109. Montenegro), and Taliban controlled areas of 
  110. Afghanistan), (c) are not a Denied Party, Specially 
  111. Designated National, or other person or entity prohibited 
  112. from receiving exports / re-exports by U.S. law; and (d) 
  113. will not export, re-export, or transfer the Software to 
  114. any prohibited destination entity or individual without 
  115. the necessary export license(s) or authorization(s) from 
  116. the U.S. Government.

  118. 9. CONTRACTING PARTIES.  If the Software is installed on 
  119. computers owned by a corporation or other legal entity, 
  120. then this Agreement is formed by and between Qualcomm and 
  121. such entity. The individual executing this Agreement 
  122. represents and warrants to Qualcomm that they have the 
  123. authority to bind such entity to the terms and conditions 
  124. of this Agreement.

  126. 10. INDEMNITY. You agree to defend and indemnify QUALCOMM 
  127. Incorporated against all claims, losses, liabilities, 
  128. damages, costs and expenses, including attorney's fees, 
  129. which QUALCOMM may incur in connection with your breach 
  130. of this Agreement.
  131.  
  132. 11. GENERAL.  The Software is a "commercial item."  This 
  133. Agreement is governed and interpreted in accordance with 
  134. the laws of the State of California without giving effect 
  135. to its conflict of laws provisions.  The United Nations 
  136. Convention on Contracts for the International Sale of 
  137. Goods is expressly disclaimed.  Any claim arising out of 
  138. or related to this Agreement must be brought exclusively 
  139. in a federal or state court located in San Diego County, 
  140. California and you consent to the jurisdiction of such 
  141. courts. If any provision of this Agreement shall be 
  142. invalid, the validity of the remaining provisions of this 
  143. Agreement shall not be affected.  This Agreement is the 
  144. entire and exclusive agreement between Qualcomm and you 
  145. with respect to the Software and supersedes all prior 
  146. agreements (whether written or oral) and other 
  147. communications between Qualcomm and you with respect to 
  148. the Software.
